G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, creating what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. The transaction, which closed on the effective date, is expected to generate substantial operational and capital synergies by combining the adjacent Oko West and Oko-Ghanie deposits.

Under the terms of the arrangement, each G2 Goldfields share was exchanged for 0.212 common shares of GMIN and 0.50 common shares of G3 Goldfields, a newly spun-out entity. The combined project is anticipated to benefit from shared infrastructure, optimized mine planning, greater processing capacity, and enhanced operational flexibility. This strategic consolidation positions GMIN to leverage economies of scale and streamline development activities in the mineral-rich Guyana Shield region.

Importantly, GMIN has clarified that the previously disclosed mineral resource estimates for the Oko-Ghanie Project are considered historical estimates under National Instrument 43-101 and do not represent current mineral resources from GMIN's perspective. The company plans to undertake additional geological modeling, data integration, and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report by 2027, which will provide a clearer picture of the project's economic viability.

The acquisition marks a significant milestone for GMIN, which is focused on developing, operating, and exploring precious metal projects to capitalize on value uplift from successful mine development. With the addition of the Oko West Project in Guyana, GMIN strengthens its portfolio, which already includes the Tocantinzinho Gold Mine and the Gurupi Project in Brazil. The company is well-positioned to grow into the next mid-tier precious metals producer, leveraging strong access to capital and proven development expertise.
