JOST Divests Hyva's Indian Tipper Body Business to Belrise Industries

JOST Werke SE, a global leader in safety-critical systems for commercial vehicles, has signed a business transfer agreement to sell its Indian tipper body business to Belrise Industries Limited. The transaction, announced on August 5, 2026, is part of JOST’s ongoing strategy to refine the portfolio of Hyva, which it acquired in February 2025. The divestment is expected to close in the fourth quarter of 2026, subject to regulatory approvals, and will not materially impact JOST’s fiscal year 2026 outlook, which the company has confirmed.

The Indian tipper body business, which generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million, has been sold for a purchase price of about EUR 5 million. This move is designed to lower JOST’s vertical integration and enhance operational flexibility in India, allowing the company to concentrate on its core areas of tipping cylinders, hydraulic components, and digital tipping systems. By divesting this non-core asset, JOST aims to strengthen its focus on mission-critical systems and align its portfolio with its long-term strategy for profitable growth.

Joachim Dürr, CEO of JOST Werke SE, emphasized the strategic importance of the divestment: “This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems.” The move reflects JOST’s commitment to streamlining operations and investing in areas where it can maintain a competitive edge.

On the buyer’s side, Belrise Industries Limited, a prominent Indian manufacturer, sees the acquisition as a strategic fit. Shrikant Badve, Managing Director of Belrise, stated, “We are pleased to welcome Hyva’s India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities.” Belrise plans to invest in the business’s future growth while ensuring a seamless transition for customers, employees, suppliers, and partners, working closely with JOST.

The Indian tipper body market is a significant segment within the commercial vehicle industry, and this transaction underscores the dynamic consolidation happening in the sector. For JOST, the divestment allows for a more focused approach on higher-margin hydraulic systems, which are critical for tipping applications. For Belrise, the acquisition expands its footprint in the commercial vehicle market, enhancing its product portfolio and manufacturing capabilities.

The completion of the transaction is anticipated in Q4 2026, with regulatory approvals being the primary condition. Until then, JOST will continue to operate the business, and the company emphasizes that the divestment will not alter its financial guidance for 2026. This strategic move is expected to benefit both companies by enabling them to concentrate on their respective core competencies, ultimately driving innovation and efficiency in the commercial vehicle industry.

JOST, with its five core brands—JOST, ROCKINGER, TRIDEC, Quicke, and Hyva—is a leading global supplier of fifth wheel couplings, landing gears, agricultural front loaders, and front-end tipping cylinders. After the Hyva acquisition, JOST employs over 6,500 staff worldwide, with operations in more than 35 countries. The company is listed on the Frankfurt Stock Exchange.
