MAX Power Mining Secures $10 Million Investment from Eric Sprott to Advance Natural Hydrogen Projects

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has announced a strategic non-brokered private placement with renowned investor Eric Sprott, securing gross proceeds of $10 million. The financing, consisting of 4 million units priced at $2.50 each, will be subscribed for by 2176423 Ontario Ltd., a corporation beneficially owned by Sprott. Each unit includes one common share and one warrant exercisable at $3.25 for 24 months. The closing is anticipated on or about Aug. 17, 2026, subject to customary conditions, including Canadian Securities Exchange approval.

This investment marks a significant endorsement of MAX Power's exploration strategy, particularly its focus on Natural Hydrogen. The company has made strides in this emerging sector with its Lawson Discovery near Central Butte, Saskatchewan, which represents Canada's first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. MAX Power has built dominant district-scale land positions across Saskatchewan with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen.

The net proceeds from this private placement will be used to further advance the ongoing commercial validation drill program at the Lawson Complex and for general corporate purposes. This funding is crucial for MAX Power to continue its pioneering work in Natural Hydrogen, a potentially transformative energy source that could play a key role in the global shift to decarbonization.

Following the financing, Sprott is expected to beneficially own or control approximately 19.5% of MAX Power's outstanding common shares on a non-diluted basis and approximately 30.5% on a partially diluted basis, assuming exercise of all warrants he beneficially owns or controls. Sprott has agreed not to exercise warrants that would increase his holdings above 19.9% unless shareholders approve his creation as a control person at the company's Aug. 20 special meeting and all required CSE and regulatory approvals are obtained.

Eric Sprott is a well-known and influential investor in the mining and resource sectors. His participation in this financing not only provides MAX Power with substantial capital but also lends credibility and visibility to the company's Natural Hydrogen initiatives. This investment could attract further attention from institutional and retail investors, potentially boosting the company's market position.

MAX Power is an innovative mineral and energy exploration company focused on the shift to decarbonization. In addition to its Natural Hydrogen assets, the company holds a portfolio of properties in the United States and Canada focused on critical minerals, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project in southeast Arizona, 100%-owned by MAX Power's U.S. subsidiary. The company is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance.

The importance of this announcement extends beyond MAX Power itself. Natural Hydrogen, also known as white or gold hydrogen, is generated naturally in the Earth's crust and could provide a low-carbon energy source. The successful development of this resource could have significant implications for the global energy transition, offering a potential new clean energy supply. MAX Power's progress in confirming and developing Natural Hydrogen systems could pave the way for broader industry exploration and investment in this emerging field.

For investors, this development signals confidence in MAX Power's prospects and the potential of Natural Hydrogen as a viable energy source. The funding will enable the company to advance its drill programs, potentially leading to further discoveries and resource validation. As the world seeks to reduce carbon emissions, investments in innovative energy projects like Natural Hydrogen are likely to become increasingly important.
