NANO Nuclear Energy Secures $600 Million in Private Placement to Advance Micro Reactor Development

NANO Nuclear Energy Inc. (NASDAQ: NNE) has completed a private placement of 8,490,767 common shares, securing participation from leading asset managers and institutional investors. The financing provides the advanced nuclear energy and technology company with approximately $600 million in cash, offering multiple years of operating runway to advance development, construction, and regulatory licensing for its KRONOS MMR™ Energy System and other micro reactor initiatives.

Founder and Chairman Jay Yu stated that the successful raise reflects strong investor confidence and positions NANO Nuclear as a leader in the U.S. micro reactor industry. Titan Partners Group, a division of American Capital Partners, served as sole placement agent for the offering. This substantial financial backing comes at a critical time for the nuclear energy sector, which faces increasing demand for clean, reliable power solutions.

The company believes it is the first portable nuclear microreactor company to be listed publicly in the United States. NANO Nuclear aims to become a commercially focused, diversified, and vertically integrated company across five distinct business lines: cutting edge portable and other microreactor technologies, nuclear fuel fabrication, nuclear fuel transportation, nuclear applications for space, and nuclear industry consulting services.

NANO Nuclear's reactor products in development include its lead project, the patented KRONOS MMR™ Energy System, a stationary high-temperature gas-cooled reactor that is in construction permit pre-application engagement with the U.S. Nuclear Regulatory Commission in collaboration with University of Illinois Urbana-Champaign. The company is also developing ZEUS™, a solid core battery reactor, and the space-focused, portable LOKI MMR™, each representing advanced developments in clean energy solutions that are modular, on-demand capable, advanced nuclear microreactors.

Through its subsidiary Advanced Fuel Transportation Inc. (AFT), NANO Nuclear is building a North American transportation company that will provide commercial quantities of HALEU fuel to small modular reactors, microreactor companies, national laboratories, military, and Department of Energy programs. AFT is the exclusive licensee of a patented high-capacity HALEU fuel transportation basket developed by three major U.S. national nuclear laboratories and funded by the Department of Energy. This positions the company to potentially form part of the only vertically integrated nuclear fuel business of its kind in North America.

Another subsidiary, HALEU Energy Fuel Inc. (HEF), is focusing on the future development of a domestic source for a High-Assay, Low-Enriched Uranium fuel fabrication pipeline for NANO Nuclear's own microreactors as well as the broader advanced nuclear reactor industry. This domestic fuel capability addresses critical supply chain concerns in the nuclear energy sector.

NANO Nuclear Space Inc. (NNS), the company's space-focused subsidiary, is exploring potential commercial applications of developing micro nuclear reactor technology in space. The subsidiary is focusing on applications such as the LOKI MMR system and other power systems for extraterrestrial projects and human sustaining environments, and potentially propulsion technology for long haul space missions. NNS's initial focus will be on cis-lunar applications, referring to uses in the space region extending from Earth to the area surrounding the Moon's surface. This significant capital infusion represents a major milestone for the advanced nuclear energy sector, particularly for microreactor development. The funding enables NANO Nuclear to accelerate its regulatory processes, advance technology development, and build out its vertically integrated business model at a time when both public and private sectors are increasingly seeking reliable, carbon-free energy solutions. The company's comprehensive approach addressing multiple aspects of the nuclear energy value chain—from fuel fabrication to transportation to reactor technology—positions it uniquely in the emerging advanced nuclear market.
