Noble Mineral Exploration Inc. (TSXV: NOB) (OTCQB: NLPXF) has entered into an agreement to acquire the North Bradshaw Property from Gravel Ridge Resources Ltd. and 1544230 Ontario Inc., marking a strategic expansion of the company's exploration portfolio in the prolific Abitibi Greenstone Belt. The acquisition, announced on August 4, 2026, underscores Noble's commitment to advancing gold exploration in one of Canada's premier mining districts.

The purchase price comprises $73,000 in cash, payable over three years, and the issuance of 600,000 common shares of Noble. The payment schedule includes $10,000 on signing, $15,000 on the first anniversary, $18,000 on the second anniversary, and $30,000 on the third anniversary. Additionally, the vendors will receive a 1.5% net smelter returns royalty, with Noble retaining the right to buy back one-third of the royalty (0.5%) for $500,000. The transaction is subject to board approval and clearance from the TSX Venture Exchange.

The North Bradshaw Property is contiguous to the Gowest Bradshaw Gold Property, historically known as the Frankfield East Deposit, held by GoWest Gold Ltd. A pre-feasibility study amended on September 15, 2015, identified both indicated and inferred gold resources on the Gowest property, with details available at www.gowestgold.com. This proximity positions Noble to benefit from the established geological understanding and infrastructure in the area.

Geologically, both properties lie within the Abitibi Greenstone Belt, a world-class Archean gold-producing region. The Gowest deposit is hosted in mafic volcanic rocks, ultramafic units, strongly altered shear zones, and local intrusive rocks. Gold mineralization occurs in a broad, altered, and brecciated structural zone rather than a narrow quartz vein. Previous exploration outlined a thick tabular orebody following the contact between hanging-wall basalt and footwall ultramafic rocks, with higher-grade gold concentrated along the margins of the main shear zone. Gold occurs as disseminated pyrite, fine free gold, quartz-carbonate alteration, silica flooding, and sericite-carbonate alteration.

Noble's CEO, H. Vance White, expressed enthusiasm: "We are pleased to be proceeding with the purchase of prospective mining claims in Ontario. Noble believes these projects offer significant potential for new discoveries and continued exploration success." This acquisition aligns with Noble's strategy of expanding its mineral rights in Northern Ontario, where it already holds approximately 70,000 hectares, including the flagship Project 81 in the Timmins-Cochrane area.

In a separate development, Noble provided final information regarding its recently completed plan of arrangement, effective May 27, 2026. Under the arrangement, each pre-arrangement common share was exchanged for one new common share of Noble and a pro rata portion of 9,000,000 common shares of Homeland Nickel Inc., at an exchange ratio of approximately 0.034060787614 of a Homeland share per Old Noble share. The fair market value of each Homeland share was set at $0.39, based on the closing price on May 26, 2026, and treated as a return of capital to shareholders. The company disclaimed responsibility for individual tax treatments, advising shareholders to seek their own advice.

The qualified person for the technical disclosure is Wayne Holmstead, P.Geo., an independent Qualified Person as defined by National Instrument 43-101. This acquisition and the completion of the arrangement mark significant milestones for Noble as it continues to build its exploration portfolio and unlock value for shareholders.
