Nocera Acquires Controlling Interest in Taiwan Memory Distributor to Bolster AI Infrastructure Strategy

Nocera, Inc. (NASDAQ: NCRA) announced it has acquired a 30% controlling interest in Taiwan-based QMAX Technology Co. Ltd. through a variable interest entity structure, issuing 300,000 restricted shares valued at approximately $408,000. QMAX is an authorized distribution channel for Micron/Crucial memory products, providing Nocera with established vendor authorizations, procurement capabilities and distribution relationships for DRAM modules, server memory and solid-state storage. The transaction supports Nocera's transformation into Nocera Holdings, a diversified technology-focused holding company targeting opportunities across artificial intelligence, AI infrastructure, data centers, robotics, biotech, blockchain and digital assets.

Management said the acquisition strengthens Nocera’s AI data center strategy by securing access to critical memory and storage components amid tightening global supply driven by AI demand. QMAX generated approximately $1.36 million in fiscal 2025 revenue and provides an operating procurement and distribution platform serving customers across Taiwan’s technology sector. Nocera said it intends to leverage the business to support both its own planned AI data centers and third-party customers while continuing to pursue additional acquisitions and strategic partnerships aligned with its long-term AI infrastructure strategy.

This move comes as global demand for AI infrastructure surges, placing unprecedented pressure on supply chains for high-performance memory and storage components. By securing a direct channel to Micron/Crucial products through QMAX, Nocera positions itself to mitigate potential shortages and cost volatility that could hamper data center buildouts. The acquisition also provides Nocera with an established operational platform in Taiwan, a hub for semiconductor manufacturing, which could facilitate further expansion in the region.

For the technology industry, Nocera's strategic pivot underscores a broader trend of companies vertically integrating to secure critical hardware components. As AI workloads increasingly rely on large-scale memory and storage, control over supply chains becomes a competitive advantage. The deal may also signal to investors that Nocera is executing on its plan to become a holding company focused on high-growth sectors, potentially opening doors to future acquisitions and partnerships.

The acquisition is part of Nocera's transition into a diversified holding company that continues to evaluate opportunities related to tokenization, blockchain infrastructure and digital asset strategies. Leveraging international relationships and market access across Asia and other emerging global markets, Nocera Holdings seeks to build long-term shareholder value through scalable businesses and next-generation technologies.
