Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced today that its subsidiaries have entered into a Memorandum of Agreement with Invitrx Therapeutics, Inc. to explore two new workstreams: bringing the GENREVER cosmetic brand to the United States and advancing regenerative medicine projects in Indonesia. The collaboration leverages a six-year commercial relationship between the companies.
Under the proposed collaboration, Instinct Bio intends to license the GENREVER trademark, and its subsidiary Artisans Production Co., Ltd. will contribute proprietary formulations and raw materials. INVITRX is expected to manufacture GENREVER products at its U.S. GMP manufacturing facility. The parties aim to position GENREVER as a premium Japanese cosmetics brand in the U.S. market, subject to regulatory requirements.
In addition, the companies plan to collaborate on initiatives supporting clinics and an in-hospital cell processing center and laboratory in Indonesia. INVITRX is expected to supply concentrated exosomes and conditioned media for these facilities, pending regulatory approvals. This effort targets one of Asia's rapidly growing healthcare markets.
Tomoki Nagano, Chief Executive Officer of Instinct Bio, stated: "This collaboration represents an important step in our strategy to expand Instinct Bio's international platform. By bringing together the GENREVER brand, Artisans Production's proprietary formulations and INVITRX's U.S. GMP manufacturing capabilities, we believe we are creating a strong foundation for future growth in both the United States and Southeast Asia."
The collaboration builds on a six-year relationship during which Instinct Bio sourced raw materials from INVITRX. The companies expect this existing relationship to facilitate coordination as they evaluate the proposed collaboration. The parties intend to negotiate definitive commercial agreements covering manufacturing, supply, and commercialization while progressing regulatory assessments.
For Instinct Bio, the move represents a strategic expansion beyond its core regenerative medicine and longevity-focused technologies. By entering the U.S. cosmetics market and supporting Indonesian healthcare infrastructure, the company diversifies its revenue streams and establishes a presence in key global markets. The U.S. cosmetics market is highly competitive, but the premium Japanese branding could differentiate GENREVER. Meanwhile, Indonesia's growing healthcare sector presents opportunities for regenerative medicine applications.
The collaboration also highlights the importance of exosome technology, which is gaining traction in regenerative medicine. Concentrated exosomes and conditioned media are used in cell-based therapies, and establishing a local supply chain in Indonesia could reduce costs and improve access for patients.
However, the announcement is framed as a framework agreement, with no guarantee of definitive contracts. The companies face risks including regulatory hurdles, manufacturing challenges, and market acceptance. The forward-looking statements in the press release caution that actual results may differ materially from expectations.
Investors and industry observers will watch for progress on definitive agreements and regulatory milestones. The collaboration could set a precedent for cross-border partnerships in regenerative medicine and cosmetics, blending Japanese innovation with U.S. manufacturing and emerging market expansion.
