Telomir Pharmaceuticals Secures $5.6 Million PIPE Financing to Advance Telomir-Zn Clinical Program

Telomir Pharmaceuticals (NASDAQ: TELO) has announced an approximately $5.6 million private investment in public equity (PIPE) financing, issuing 4,843,300 common shares at $1.16 per share. The offering price represents a 5% discount to the applicable 10-day volume-weighted average price. The financing includes an additional $1 million investment from existing significant shareholder John Paul DeJoria and notably does not include investor warrants, convertible securities, or variable-price or reset features.

The net proceeds are primarily intended to support clinical development of Telomir-Zn, including its Phase 1/2 clinical program in advanced or metastatic triple-negative breast cancer (TNBC), as well as for working capital and general corporate purposes. The FDA has cleared the company's Investigational New Drug (IND) application for Telomir-Zn, enabling it to proceed with its first-in-human Phase 1/2 trial in patients with advanced or metastatic TNBC.

This financing is significant as it provides Telomir with the necessary capital to advance its lead drug candidate into human trials, a critical step for a clinical-stage biotechnology company. TNBC is an aggressive subtype of breast cancer with limited treatment options, and the successful development of Telomir-Zn could offer a new therapeutic approach. The absence of warrants and other dilutive features may be viewed favorably by investors, as it simplifies the capital structure and reduces potential future dilution.

Telomir Pharmaceuticals is focused on developing small-molecule therapeutics targeting epigenetic and metabolic pathways implicated in cancer. Telomir-Zn is designed to modulate intracellular metal homeostasis and epigenetic regulation. For more details on the financing, see the full press release at https://ibn.fm/0KMpl.
