Nano-X Imaging Ltd. (NASDAQ: NNOX), a company focused on transforming preventive healthcare through an integrated medical imaging platform, announced on Wednesday a securities purchase agreement with a single long-term institutional investor for a registered direct offering. The offering is expected to generate gross proceeds of approximately $8 million before fees and expenses, according to a press release.
The financing involves the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares. The combined purchase price is set at $1.00 per share and accompanying warrant. The warrants will have an exercise price of $1.15 per share, become exercisable six months after issuance, and expire five years after the closing date. The offering is expected to close on or about Aug. 7, 2026, subject to customary closing conditions.
Nano-X stated that it intends to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
This capital raise comes as Nano-X continues to advance its mission of expanding access to medical imaging beyond traditional hospital settings. The company’s ecosystem includes the Nanox.ARC, a cost-effective 3D multi-source digital tomosynthesis imaging system; Nanox.AI, a suite of AI-based algorithms for early detection of chronic diseases; Nanox.CLOUD, a cloud-based platform for data management and analytics; and Nanox.MARKETPLACE, which provides access to remote radiology and cardiology experts through USARAD Holdings. Additionally, Nanox Health IT offers RIS, PACS, AI, dictation, and secure infrastructure solutions.
The importance of this offering lies in its potential to fuel Nano-X’s ongoing efforts to lower barriers to adoption and improve utilization of medical imaging, which could have significant implications for preventive healthcare. By securing additional funding, the company can continue to develop and commercialize its integrated platform, potentially enabling earlier detection of diseases and better patient outcomes globally. For the medical imaging industry, this investment signals continued confidence in the convergence of hardware, AI, and cloud technologies to make imaging more accessible and efficient.
Investors and stakeholders will be watching how Nano-X deploys these funds to advance its strategic goals. The offering also underscores the company’s ability to attract long-term institutional investment, which may be seen as a vote of confidence in its business model and growth prospects. As the healthcare sector increasingly emphasizes preventive care, Nano-X’s approach could play a pivotal role in reshaping how imaging is delivered and interpreted.
